1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Zinaps Fulfilment, also trading as Workneh Assets ("Zinaps", "we", "us", or "our"), located in Wieringerwerf, The Netherlands.
By accessing our website, creating an account, or using our fulfilment services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
These Terms apply to all visitors, customers, sellers, and business partners who access or use our services.
2. Description of Services
Zinaps provides third-party logistics (3PL) and fulfilment services for e-commerce businesses, including but not limited to:
• Warehousing and inventory storage
• Order processing, pick and pack services
• Shipping and delivery through partner carriers (PostNL, DHL, DPD, and others)
• Returns management and processing
• Integration with marketplace platforms (Bol.com, Amazon, Shopify, WooCommerce, and 150+ channels)
• Real-time inventory management via our online portal
• Dedicated account management and strategic support
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable prior notice.
3. Account Registration & Responsibilities
To use our fulfilment services, you must create an account and provide accurate, complete, and current information including your business name, KVK number (if applicable), VAT number, and contact details.
You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your account information remains accurate and up to date
• Notifying us immediately of any unauthorised use of your account
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for more than 12 consecutive months.
4. Fulfilment & Shipping Terms
Order Processing: We process orders received through connected marketplace integrations and our portal. Orders placed before our cut-off time (23:59) are shipped the same business day, subject to product availability and carrier schedules.
Shipping: We ship via our carrier partners at competitive rates. Shipping times depend on the destination and carrier selected. We are not liable for delays caused by carriers, customs, or circumstances beyond our control.
Accuracy: We maintain a 99.9% pick-and-pack accuracy rate. In the event of a fulfilment error caused by us (wrong item, missing item, or incorrect quantity), we will rectify the error at our expense, including reshipping costs.
Packaging: Standard packaging is included. Custom or branded packaging is available at additional cost as agreed upon in your service agreement.
5. Inventory & Storage
Storage Fees: Inventory storage is billed monthly based on the volume of space occupied. Current rates are available on our pricing page and in your individual service agreement.
Inventory Responsibility: You retain ownership of all inventory stored in our warehouse. You are responsible for ensuring that all products:
• Comply with applicable Dutch and EU laws and regulations
• Are properly labelled and documented
• Are not prohibited, hazardous, illegal, or perishable (unless specifically agreed)
• Are accurately described in our inventory management system
Inventory Discrepancies: We conduct regular inventory counts. If discrepancies are found, we will investigate and notify you. For verified losses attributable to our negligence, we will compensate you in accordance with the liability provisions in Section 8.
Abandoned Inventory: Inventory that remains unclaimed for 90 days after account termination or service suspension will be considered abandoned. We will make reasonable efforts to contact you before disposing of abandoned inventory.
6. Pricing & Payment
Service Fees: Our fees are based on the services you use, including storage, pick-and-pack, shipping, and any additional services. Current pricing is available on our website and detailed in your individual service agreement.
Invoicing: Invoices are issued monthly and are due within 14 days of the invoice date, unless otherwise agreed in writing.
Late Payment: Overdue invoices accrue interest at the statutory commercial rate under Dutch law (currently as set by the Netherlands Central Bank). We reserve the right to suspend services if payment is more than 30 days overdue after written notice.
Price Changes: We may adjust our pricing with at least 30 days written notice. If you do not agree with a price change, you may terminate your agreement within that notice period.
All prices are exclusive of VAT (BTW) unless explicitly stated otherwise.
7. Prohibited Items & Use
You may not use our services to store, ship, or handle:
• Illegal goods or substances under Dutch, EU, or destination country law
• Hazardous materials without prior written approval and proper documentation
• Counterfeit or trademark-infringing products
• Weapons, ammunition, or explosives
• Perishable goods (unless specifically agreed with temperature-controlled storage)
• Items subject to trade sanctions or export controls
You are solely responsible for ensuring compliance with all applicable laws regarding the products you store and ship through our services. Violation of this section constitutes grounds for immediate termination of services.
8. Liability & Insurance
Limitation of Liability: To the maximum extent permitted by Dutch law, Zinaps' total liability for any claims arising from or related to our services is limited to the total fees paid by you in the 3 months preceding the claim.
We are not liable for:
• Indirect, incidental, consequential, or punitive damages
• Lost profits or lost business opportunities
• Damage caused by circumstances beyond our reasonable control (force majeure)
• Damage resulting from your failure to comply with these Terms or provide accurate information
• Carrier delays or damage during transit (these are covered by carrier insurance)
Insurance: We maintain warehouse insurance covering fire, theft, and water damage. Carrier shipments are covered by carrier liability. For high-value inventory, we recommend you maintain your own additional insurance coverage.
Claims: Any claims for damaged or lost inventory must be submitted in writing within 14 days of discovery. We will investigate all claims promptly and respond within 30 days.
9. Intellectual Property
Zinaps IP: All content on our website, portal, and platform — including text, graphics, logos, software, and design — is the property of Zinaps Fulfilment or its licensors and is protected by Dutch and international copyright and trademark laws. You may not copy, reproduce, or distribute any of our content without prior written consent.
Your IP: You retain all rights to your brand, product listings, and marketing materials. By using our services, you grant us a limited licence to use your brand name and logos solely for the purpose of fulfilling your orders (e.g., on packing slips, branded packaging).
Feedback: Any suggestions, ideas, or feedback you provide about our services may be used by us without obligation or compensation to you.
10. Termination
By You: You may terminate your agreement with us at any time by providing 30 days written notice. Upon termination, you must arrange collection or shipping of your remaining inventory within 30 days.
By Us: We may terminate or suspend your account immediately if you:
• Breach these Terms
• Fail to pay invoices after written notice
• Store prohibited items
• Engage in fraudulent or illegal activity
For termination without cause, we will provide 30 days written notice.
Upon Termination: All outstanding invoices become immediately due. We will make your remaining inventory available for collection. Storage fees continue to accrue until all inventory is removed. Any prepaid fees for unused services will be refunded on a pro-rata basis.
11. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of The Netherlands.
In the event of a dispute, we encourage you to first contact us at contact@zinaps.com to attempt an amicable resolution. Most disagreements can be resolved through open communication.
If a dispute cannot be resolved amicably within 30 days, it shall be submitted to the competent court in the district of Noord-Holland, The Netherlands.
Nothing in this section prevents either party from seeking urgent interim measures (such as an injunction) from any competent court.
12. Changes to These Terms
We may update these Terms of Service from time to time. When we make changes, we will update the "Last updated" date at the top of this page and notify you via email or a prominent notice on our website.
Continued use of our services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your agreement as described in Section 10.
